1. Introduction

Welcome to TaxAI (“the Service”, “we”, “our”, or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, software, API, and related services (collectively, the “Service”).

Important: All payments for the Service are processed by Paddle.com as our Merchant of Record. When you make a purchase, you are entering into a contract with Paddle as the seller. These Terms govern your use of the Service itself.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Definitions

“Service” — TaxAI’s web application, API, reports, calculations, and all related tools and content

“User”, “you”, “your” — The individual or entity using the Service

“Account” — Your registered user account on the Service

“Subscription” — A recurring payment plan that grants access to the Service

“Content” — All information, data, text, calculations, reports, and materials provided through the Service

“Paddle” — Paddle.com, our payment processing partner and Merchant of Record

3. Eligibility

By using the Service, you represent and warrant that:

You are at least 18 years old (or the age of majority in your jurisdiction)

You have the legal capacity to enter into a binding agreement

You are not located in a country that is subject to a U.S. government embargo or sanctioned

You will not use the Service for any illegal or unauthorized purpose

You will comply with all applicable laws and regulations, including tax and securities laws

4. Account Registration and Security

4.1 Registration

You must create an account to access the Service. You agree to provide accurate, current, and complete information during the registration process and to update it as necessary.

4.2 Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account at security@taxessight.com.

4.3 Multiple Accounts

You may not create multiple accounts for the purpose of circumventing subscription limits, promotional offers, or trial periods.

5. Subscriptions and Billing

5.1 Plans and Pricing

Subscription plans, pricing, and features are described on our website. We reserve the right to modify pricing with 30 days’ notice. Price changes will not affect your current billing period.

5.2 Billing Cycle

Monthly subscriptions: Billed monthly on the anniversary of your sign-up date

Annual subscriptions: Billed annually on the anniversary of your sign-up date

5.3 Payment Processing

All payments are processed by Paddle.com. By subscribing, you authorize Paddle to charge your chosen payment method on a recurring basis. Paddle handles all payment data; we do not store full credit card details.

5.4 Taxes

Prices displayed may or may not include applicable taxes (VAT, GST, sales tax, etc.), depending on your location. Paddle calculates and remits taxes where required by law.

5.5 Currency

All charges are in USD unless otherwise specified. Currency conversion fees may apply based on your payment method and location.

5.6 Free Trials

If you sign up for a free trial, you will be charged at the end of the trial period unless you cancel before the trial ends. We will send a reminder before the trial expires.

6. Refunds

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. See Refund Policy for details.

7. Service Access and Usage

7.1 License

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

7.2 Usage Limits

Your use of the Service is subject to the limits specified in your subscription plan (e.g., number of portfolios, API calls per day, reports generated). Exceeding these limits may result in additional fees or throttling.

7.3 Service Availability

We strive for 99% uptime, excluding scheduled maintenance (notified at least 24 hours in advance) and circumstances beyond our reasonable control (force majeure events, third-party service disruptions, etc.).

7.4 API Usage

If you access the Service via API, you agree to:

Limit request rates to documented thresholds

Not use the API in a way that degrades Service performance for other users

Not reverse-engineer, decompile, or attempt to extract the source code of the Service

8. User Obligations and Restrictions

8.1 Prohibited Activities

You agree not to:

Use the Service for any illegal activity or to violate any law

Upload or transmit viruses, malware, or malicious code

Attempt to gain unauthorized access to the Service, other accounts, or our systems

Interfere with or disrupt the integrity or performance of the Service

Scrape, crawl, or systematically extract data without our written permission

Use the Service to provide competing services to third parties

Resell or sublicense access to the Service without our express written consent

Use automated tools (bots, scripts) in a way that violates rate limits or terms

8.2 Tax and Investment Disclaimer

TaxAI provides informational reference tools and calculations based on publicly available tax regulations. We are NOT a tax advisor, CPA, attorney, or licensed financial advisor.

The calculations and reports generated by the Service are for reference purposes only

Users should consult with qualified tax professionals regarding their specific situations

Tax laws vary by jurisdiction and change over time; we strive to keep our data current but make no guarantees about completeness or accuracy

The Service does not constitute legal, tax, or financial advice

No client-advisor relationship is created by using the Service

9. Intellectual Property

9.1 Our Rights

The Service, including its code, design, algorithms, content, and branding, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.

9.2 User Content

You retain ownership of any data, portfolios, or information you upload to the Service. By uploading content, you grant us a limited license to process, store, and display it solely for the purpose of providing the Service to you.

9.3 Feedback

If you provide feedback or suggestions about the Service, we may use them without compensation or obligation to you.

10. Confidentiality

We treat your financial data and investment information as confidential. We will not:

Share your individual portfolio data with third parties (except as required by law or with your explicit consent)

Use your data for purposes other than providing the Service to you

Access your data without your permission, except for system maintenance, troubleshooting, or legal compliance

11. Data Privacy

Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. See Privacy Policy for details.

12. Third-Party Services

The Service may integrate with or reference third-party services (e.g., data providers, tax authority databases). We are not responsible for the accuracy, availability, or performance of third-party services. Your use of third-party services is governed by their respective terms.

Paddle.com — As our Merchant of Record, Paddle processes all payments. When you make a purchase, you agree to Paddle’s terms. See Paddle’s Terms and Paddle’s Privacy Policy.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied

We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement

We do not warrant that the Service will be uninterrupted, error-free, or secure

We are not liable for any indirect, incidental, special, consequential, or punitive damages

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim

This limitation applies whether the claim is based on contract, tort (including negligence), or any other legal theory

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service in violation of these Terms

Your violation of any applicable law or regulation

Your infringement of any third-party rights

Any data or content you submit to the Service

15. Termination

15.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access until the end of the paid period.

15.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if:

You breach these Terms

Your payment fails or is disputed

We are required to do so by law

We discontinue the Service

15.3 Effect of Termination

Upon termination, your access to the Service will cease. We will retain your data for 90 days after termination to allow for data export. After 90 days, your data may be permanently deleted.

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of 香港特别行政区法律, without regard to its conflict of laws principles.

16.2 Informal Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at legal@taxessight.com. We will respond within 15 business days and work in good faith to resolve the issue.

16.3 Binding Arbitration

If the dispute cannot be resolved informally, it shall be resolved by binding arbitration administered by HKIAC in accordance with its rules. The arbitration shall be conducted in English in Hong Kong. Each party shall bear its own costs, unless the arbitrator determines otherwise.

Class Action Waiver: All claims must be brought individually, not as a class, consolidated, or representative action.

16.4 Exception for Small Claims

Either party may bring individual claims in small claims court in Hong Kong if the claim qualifies.

17. Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, government actions, natural disasters, strikes, internet outages, and pandemics.

18. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding your use of the Service, superseding any prior agreements.

19. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via:

Email to your registered email address

A notice within the Service

Updating the “Last updated” date at the top of this page

If you do not agree to the changes, you must stop using the Service before the changes take effect. Continued use after the effective date constitutes acceptance.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

21. Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
